Pronexi is operated by Emma Infotech Pty Ltd (ABN 16 644 105 368). These terms govern your use of the Pronexi website, web app, and mobile apps.

1. Agreement

These Terms of Service form an agreement between you and Emma Infotech Pty Ltd, trading as Pronexi (“Pronexi”, “we”, “us”, or “our”). By accessing or using Pronexi, you agree to these terms and our Privacy Policy. If you do not agree, you must not use Pronexi.

2. The Service

Pronexi provides live digital business cards, public card links, QR codes, contact management, contact imports, connection requests, event networking, event attendee lists, notes, tags, reminders, and relationship opportunity signals.

We may add, change, suspend, or remove features from time to time. We may also update these terms by posting a new version on this page.

3. Accounts

You are responsible for maintaining the confidentiality of your account and for activity that occurs through your account. You must provide accurate account information and keep it up to date. You must not use another person's account without permission.

4. Your Content and Sharing

You are responsible for the cards, contact details, photos, logos, notes, tags, reminders, event details, links, and other content you add to Pronexi. You confirm that you have the rights and permissions needed to upload and share that content.

Pronexi includes public card links, event links, QR codes, connection requests, and attendee visibility features. When you share content or join an event, relevant details may be visible to recipients, hosts, attendees, or connected users. You should not publish or share information you do not want those people to see.

If you import contacts, add manual contacts, or store information about another person, you are responsible for ensuring you have a lawful basis or permission to do so. You must use contact information respectfully and in accordance with applicable privacy, spam, and communications laws.

7. Events

Event hosts are responsible for the accuracy and appropriateness of event names, descriptions, locations, external links, attendee settings, and invitations. Attendees are responsible for the card and profile details they choose to share when joining an event.

8. Plans, Trials, and Payments

Pronexi may offer free plans, Pro trials, paid subscriptions, and usage limits. Plan features, limits, prices, and trial periods may change from time to time.

Payments may be processed by third-party payment providers such as Stripe or app store providers. Your payment relationship may also be subject to their terms. Unless required by law or expressly stated otherwise, fees are non-refundable once charged.

9. Intellectual Property

We own or license Pronexi, including its software, design, branding, logos, text, graphics, and other materials. You retain ownership of content you submit, but you grant us a licence to host, process, display, share, and otherwise use that content as needed to provide and improve Pronexi.

10. Third-Party Services and Links

Pronexi may integrate with or link to third-party services, websites, app stores, payment processors, analytics providers, maps, email clients, or social platforms. We are not responsible for third-party services, and your use of them may be governed by separate terms and policies.

11. Availability and Changes

We work to keep Pronexi reliable, but we do not guarantee that it will always be available, uninterrupted, secure, or error-free. We may suspend access for maintenance, security, legal, or operational reasons.

12. Termination

You may stop using Pronexi at any time. We may suspend or terminate access if we reasonably believe you have breached these terms, created risk for other users, or used Pronexi unlawfully or harmfully.

13. Disclaimers and Liability

To the maximum extent permitted by law, Pronexi is provided “as is” and “as available”. We exclude warranties that are not required by law. We are not liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from your use of Pronexi.

Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded under applicable law.

14. Indemnity

You agree to indemnify us against claims, losses, liabilities, damages, costs, and expenses arising from your breach of these terms, your content, or your unlawful or unauthorised use of Pronexi.

15. Governing Law

These terms are governed by the laws of Queensland, Australia. Each party submits to the courts of Queensland, Australia and courts of appeal from them.
